Pacheco Coto advised Organizacion Corona on the acquisition of a majority stake in Incesa´s operations and the American Standard brand for Central America

San José, Costa Rica, May 8, 2013


Pacheco Coto has advised Organizacion Corona S.A., a Colombian multinational corporation specializing in the manufacture and sale of building materials, in the due diligence and execution of an agreement to acquire, through its subsidiaries, a majority stake in Incesa´s operations and the American Standard brand for Central America. Incesa is the leading provider of complete solutions for kitchens and bathrooms in Guatemala, El Salvador, Honduras, Nicaragua and Costa Rica. The transaction, expected to close in the third quarter of 2013, is subject to approval by the competent authorities.
Pacheco Coto's team was led by partners Freddy Fachler and Roberto Cordero in the corporate and environmental areas respectively and included associates Paula Salazar, Natasha Donoso, Roxana Cordero, Jürgen Nanne, Carlos Ayon, Randall Madriz, Luis Miguel Cedeño, Carolina Arce and Carolina Mendieta. Additionally, Ruby Asturias, Lesbia Hernandez and Ginny Castillo in Guatemala; Monica Machuca and Nadya Leon in El Salvador; Armida Lopez de Arguello and Cecille Flores in Honduras; Minerva Bellorin and Eduardo Gutierrez in Nicaragua as well as Oliver Muñoz and Ileana Cespedes in Panama, provided local support in each country.

Pacheco Coto ha asesorado a Organización Corona S.A., multinacional colombiana especializada en la manufactura y comercialización de materiales de construcción, en la debida diligencia y firma de un acuerdo para adquirir, a través de subsidiarias, una participación mayoritaria en las operaciones de Incesa y la marca American Standard para Centroamérica. Incesa es el principal proveedor de soluciones completas para cocinas y baños en Guatemala, El Salvador, Honduras, Nicaragua y Costa Rica. La transacción, que se espera se formalice en el tercer trimestre de 2013, está sujeta a la aprobación de las autoridades competentes.

El equipo de Pacheco Coto fue liderado por los socios Freddy Fachler en el área corporativa y por Roberto Cordero en el área ambiental, e incluyó a los asociados Paula Salazar, Natasha Donoso, Roxana Cordero, Jürgen Nanne, Carlos Ayón, Randall Madriz, Luis Miguel Cedeño Carolina Arce y Carolina Mendieta.
